This is in response to clarification sought by you vide email dated 22nd August, 2019 on the submission of brief profile for announcement of appointment submitted to you as part of Outcome of Board Meeting dated 14th August, 2019, we wish to submit as under:

• 1. Appointment of Ms. Pooja Vanjani [ Membership No. A22668) as Company Secretary and Compliance Officer was considered and approved by the Board of Directors of the Company w.e.f. 19th August, 2019. The decision was communicated as part of the Outcome of Board Meeting and detailed disclosure of appointment in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 containing brief profile was duly filed with the exchange on 19th August, 2019 i.e. within 24 hours of the occurrence of event in this case being appointment. Copy of intimation containing brief profile of appointee filed is attached as Annexure A for your ready reference.
• 1. With respect to appointment of Mr. Gyan Prakash Govil as Chairman of the Company intimated to the Exchange as part of Outcome of the Board Meeting. Kindly note that this is not a fresh appointment of a Director or Key Managerial Personnel but only designation of Mr. Gyan Prakash Govil, Non-Executive Independent Director as Chairman of the Company. Mr. Govil was appointed as Independent Director of the Company on 28th June, 2019 and due intimation of his appointment in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 containing brief profile was duly filed with the exchange on 29th June, 2019 i.e. within 24 hours of the occurrence of event / appointment. Copy of intimation containing brief profile of appointee filed is attached as Annexure B for your ready reference.
