With reference to captioned subject, we hereby inform you that the Nomination and Remuneration Committee of the Board of Directors of the Company, on May 03, 2024, has approved the allotment of 1,70,384 equity shares having a face value of ₹1/- each, to the employees of the Company who have exercised the options vested under VDCL Employee Stock Option Plan 2018.

Consequent to aforesaid allotment the issued, subscribed, and paid-up equity share capital of the Company has increased from ₹10,23,45,693/- to ₹10,25,16,077/-.

In terms of Regulation 10(c) of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 (“ESOP Regulations 2021"), the details of shares allotted are annexed herewith as Annexure I .
