Report Content Management Boardof the issuer VIGO Photonics S.A. with its registered office in OżarówMazowiecki (hereinafter referred to as the _quot;Issuer_quot;) informs that todaythe Management Board adopted a resolution to recommend to the OrdinaryGeneral Meeting to cover the Issuer's net loss for the financial year2023 covering the period from January 1, 2023 to December 31, 2023 inthe amount PLN 1,942,661.97 (one million nine hundred and forty-twothousand six hundred and sixty-one zlotys 97/100) entirely from theCompany's supplementary capital, and the unsettled profit for thefinancial year 2021 and 2022 due to the correction of errors of previousyears in the amount of PLN 511,809.05 (five hundred and eleven thousandeight hundred nine zlotys 05/100) to be allocated to the Company'ssupplementary capital.

At the same time,in accordance with the Issuer's Strategy for 2021-2026, including thedividend policy, today the Management Board adopted a resolution torecommend to the Issuer's Ordinary General Meeting not to pay dividendsfrom the profits achieved by the Issuer in previous years and allocatedto the Issuer's supplementary capital by resolutions of the GeneralMeeting. In connection withart. 382 § 3 point 2 of the Commercial Companies Code and § 21 section 2point 3 of the Company's Articles of Association, the Issuer'sManagement Board requested the Issuer's Supervisory Board to provide anopinion on the recommendations referred to above.
