Placing of existing 1,000,000 ordinary shares in Victoria

Victoria is pleased to announce that Cantor Fitzgerald Europe has placed 1,000,000 existing ordinary shares of 25 pence each, representing 6.86 per cent of Victoria's issued share capital with institutional investors at 1117.5p per share. The shares have been placed on behalf of Camden Holdings Limited ("Camden") to help satisfy continuing institutional demand (the "Placing").

Camden is a company owned by The Camden Trust of which Geoff Wilding, the Chairman of Victoria, is the settlor and a discretionary beneficiary. Following the Placing, Geoff Wilding remains beneficially interested in 6,087,730 ordinary shares, which represents 41.77 per cent of the issued share capital of the Company.

Geoff Wilding, Chairman of Victoria PLC commented:

"I agreed to the Placing in order to improve the liquidity of Victoria's shares and to build the company's shareholder base. These factors will become increasingly important as we continue to grow Victoria into a substantial business. I remain the largest shareholder in Victoria with almost 42 per cent. of the shares and, given this fact, shareholders can be assured I remain committed to Victoria's objective: 'to create wealth for our shareholders'. I will not be selling any further shares in the foreseeable future."
