Exercise of Options / Issue of Equity

Victoria PLC, (LSE: VCP) the international designers, manufacturers and distributors of innovative floorcoverings, announces that it has issued and allotted 54,545 new ordinary shares of 25p each in the Company ("Ordinary Shares") pursuant to the exercise of options of the Company. Application has been made for the 54,545 new Ordinary Shares to be admitted to trading on AIM and dealings are expected to commence on 10 March 2014.

The new Ordinary Shares will rank pari passu with the existing shares of the Company. Following the exercise of the options, the number of Ordinary Shares in issue, and the total number of voting rights, has increased to 7,087,730. This is the figure which may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
