Notice of General Meeting to:

1. Adopt the FY2023 accounts

2. Re-appoint Grant Thornton UK LLP as auditors

Victoria PLC (LSE: VCP), the international designers, manufacturers and distributors of innovative flooring, announces that a Notice of General Meeting ("General Meeting" or "GM") will be posted to shareholders later this week. The GM will be held at the Company's registered office at Worcester Six Business Park, Worcester, WR4 0AE on 13 November 2023 at 1.00 pm.

At the General Meeting the following resolutions will be proposed:

·    Resolution 1: The Directors will present to the Shareholders at the General Meeting the accounts for the previous financial year, on this occasion for the year ended 1 April 2023, together with their report and the auditor's report on those accounts.

·   Resolution 2: The auditor of the Company is required to be appointed or re-appointed at each General Meeting at which accounts are presented.  Having expressed their willingness to continue to act as auditors, resolution 2 proposes that Grant Thornton UK LLP be re-appointed.

It is normal practice for a company's Directors to be authorised to fix the auditor's remuneration and Shareholder's approval to do so is sought in this resolution.
