Subject: Postponement of merger of Victoria Land Private Limited (Transferor Company), (the wholly owned subsidiary of the Company) with The ViCtoria Mills Limited (Transferee Company).

Dear Sir,

With reference to our letter dated 8th November, 2019, wherein we had inform you that the Board of Directors of the Company, at its Meeting held 8th November,2019, had considered and approved the proposal for the merger of Victoria Land Private Limited (Transferor Company), (the wholly owned subsidiary of the Company) with The Victoria Mills Limited (Transferee Company).

In this connection we would now like to inform you that, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations) the Board of Directors of the Company, at its Meeting held today (February 13, 2020), has decided to postpone the carrying out the process of merger of Victoria Land Private Limited (Transferor Company), (the wholly owned subsidiary of the Company) with The Victoria Mills Limited (Transferee Company). The said decision has been considered by the Board of Directors considering small size of the wholly owned Subsidiary and in order to facilitate verifying the Tax Implications, Regulatory Compliances needs to be carried as part of process. The Board will reconsider the proposal after verification of Regulatory Compliance to be carried and Tax Implication to the Company and to the Transferor Company, if any and viability of process to be carried.
