Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 25, 2017, David T. Riddiford, a member of the Board of Directors (the “Board”), informed the Registrant that he would not be standing for re-election to the Board at the Company’s 2017 Annual Meeting of Stockholders, to be held June 16, 2017, following his 33 years of service to the Company. Mr. Riddiford’s decision not to stand for re-election is not due to a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
