Neuburg/Danube, February 11, 2010 - VIB Vermögen AG, a company specializing
in managing commercial real estate, yesterday took a key step in further
focusing its business activities. The two managing board members at BHB
Brauholding Bayern-Mitte AG (BHB Brauholding AG), which was recently newly
formed, acquired 400,000 new shares (equity interest of 26.67%) in the
subsidiary as part of a cash capital increase. The new shares were issued
at EUR 2.00 per share, with the result that proceeds from the issue totaled
EUR 800 thousand for BHB Brauholding AG. This has laid the foundations for
accelerated further development of the beverages segment. At the same time,
the interest held by BBI Bürgerliches Brauhaus Immobilien AG (BBI
Immobilien AG) has fallen to a current total of 73.33% as a result of the
management buy-in. VIB Vermögen is the group's parent company, and is also
the majority shareholder of BHB Brauholding AG as a result of its majority
interest in BBI Immobilien AG.
BBI Immobilien AG restructured its brewery activities back in November
2009, and bundled these in BHB Brauholding AG via a non-cash contribution
of Herrnbräu GmbH & Co. KG. This put the organizational structures in place
for the independent, focused further development of the beverages segment.
The long-term entrepreneurial inclusion of the two managing board members
Gerhard Bonschab and Franz Katzenbogen, which has now been completed, will
ensure that this on-track development is continued in a target-oriented
manner.
Peter Schropp, the member of VIB Vermögen AG's managing board responsible
for real estate, and also the sole member of BBI Immobilien AG's managing
board, underscored the advantages that this capital increase brings: 'We
lead the Southern German market for commercial property management. We also
have strong brands and an excellent position on the regional market in the
beverages segment. The capital increase has improved the company's market
position and we believe that this will allow even greater market
penetration in this region in future.' In addition, the management buy-in
lays the foundations to continue to strategy of focus, added Ludwig
Schlosser, VIB Vermögen AG's CEO: 'Our target is to ensure long-term
competitive ability and strong earnings in our segments - for both real
estate and beverages. Our objective in the beverages segment is also to
secure jobs over the long term,' Ludwig Schlosser summarized. 'We have now
clearly separated the two segments, and at the same time we have brought on
board two experts with many years of experience. That means that we are
perfectly positioned to act independently and successfully on the market
with both segments.' The managing board will continue the course it has
taken in future.
