The Company was notified on 14th November 2013 by Downing LLP ("Downing"), that following a merger of Funds managed by Downing into a new entity named Downing ONE VCT plc, Downing ONE VCT plc holds voting interests over 1,017,650 ordinary shares representing 3.66% of the total share capital with voting rights of the Company. The Funds which have been merged into Downing ONE VCT plc are as follows: Downing Distribution VCT 1 plc, Downing Income VCT plc, Downing Income VCT 3 plc, Downing Income VCT 4 plc, Downing Absolute Income VCT 1 plc, Downing Absolute Income VCT 2 plc.

Downing continues to be the discretionary Investment Manager of the merged Fund, Downing ONE VCT plc.
