Item 2.02 Results of Operations and Financial Condition.

On May 5, 2021, Spark Energy, Inc. (the “Company”) issued a press release announcing its first quarter 2021 earnings (the "Press Release"). The Press Release is furnished herewith as Exhibit 99.1. On May 6, 2021, the Company held a conference call to discuss its first quarter 2021 earnings. A transcript of the conference call is furnished herewith as Exhibit 99.2.
