Notice of Annual General Shareholders' Meeting
I. The 2026 Annual General Shareholders' Meeting of Vetnostrum Animal Health Co., Ltd. (the "Company") will take place on May 22, 2026 (Friday) at 10 a.m. at 1F conference room at Vetnostrum Hsinchu Plant. No. 290-3, Chung Lun, Chung Lun Village, Hsinfeng, Hsinchu, Taiwan. The main content of the meeting:
Contents:
(I) Announcements:
- The 2025 Business Report.
- Audit Committee's Review of the 2025 Final Accounting Report.
- Report on the 2025 Employees' and Directors' Compensation.
- Report on the 2025 Related Party Transaction.
- Amendment to the Company's "Ethical Corporate Management Best Practice Principles".
- Amendment to the Company's "Procedures for Ethical Management and Guidelines for Conduct".
(II) Ratifications:
- Adoption of the 2025 Business Report and Financial Statements.
- Adoption of the 2025 Earnings Distribution Proposal.
(III) Election: Proposal for the comprehensive election of Directors (including Independent Directors).
(IV) Discussions:
- Amendments to certain articles of the Company's "Articles of Incorporation."
- Amendments to Certain Articles of the Company's "Guidelines for Lending Funds to Others."
- Discussion the lifting of non-competition restrictions for directors.
(V) Extempore Motions.
II. The proposal for earnings distribution for fiscal year 2025 has been resolved by the Board of Directors as follows: a planned distribution of cash dividends of NT$1.51 per share.
III. In the Company's 2026 General shareholders' meeting, the election of directors will involve selecting 9 positions (5 directors and 4 independent directors) through a candidate nomination system. The list of candidates includes: Director:
Representative of Yung Shin Global Holding Corporation: Mr. Wei-Kai Chung, Representative of Yung Shin Global Holding Corporation: Mr. Meng-Be Lin, Representative of Yung Shin Global Holding Corporation: Mr. Fang-Chen Lee, Representative of Yung Shin Global Holding Corporation.: Mr. Bill Chien, Chun-Wei Lin; Independent directors: Pao-Chu Luo, Pan-Chiang Yang, Shu-Hui Lee, Chi-Ming Wang; For relevant information regarding the candidates' education and experience, please visit the Market Observation Post System website at [https://mops.twse.com.tw/Please refer to the "Material Information Announcements/Announcements/Announcement Inquiry," where shareholders can enter the company code and select the type of time to inquire about announcements related to the election of directors and supervisors through the candidate nomination system.

VII. Enclosed are one attendance notice and proxy form each for our Company's shareholders. If you decide to attend in person, please sign or stamp the third copy of the attendance notice (no need to send it back) and bring it to the venue for registration on the day of the meeting (attendance registration starts at 9:30 AM at the meeting venue). If you appoint a proxy to attend, please sign or stamp the third copy of the proxy form, fill in the proxy's name, address, and signature or stamp, and ensure it is delivered to the stock affairs agency of our Company, the Stock Affairs Department of KGI Securities Co., Ltd. (5th Floor, No. 2, Section 1, Chongqing South Road, Taipei City), at least five days before the meeting to facilitate the mailing of an attendance certificate to the proxy. If you do not receive the attendance certificate before the meeting, please bring identification documents to the venue to request a re-issuance.
VIII. According to Article 26-2 of the Securities and Exchange Act, "For a company that has issued stocks in accordance with this Act, the notice of the annual shareholders' meeting for shareholders holding less than 1,000 registered shares may be given by public announcement 15 days prior to the meeting," hence, a separate notice is not sent.
IX. Shareholders, solicitors, and proxies shall bring identification documents for verification when attending the Shareholders' Meeting.
X. For this shareholders' meeting, shareholders may exercise their voting rights
electronically from April 22, 2026, to May 19, 2026. Please directly log in to the Taiwan Depository & Clearing Corporation "Shareholder e-Services" electronic voting platform for shareholders' meetings [website: https://stockservices.tdcc.com.tw] and vote according to the relevant instructions.
XI. The proxy verification institution for this Shareholders' Meeting is the Stock Affairs Department of KGI Securities Co., Ltd.
XII. If there is a public solicitation of proxy forms for this regular shareholders' meeting, the Company shall upload a summary table of the solicitors' solicitation data to the Securities and Futures Institute website (https://free.sfi.org.tw) by April 21, 2026, in accordance with regulations.

XIII. No souvenirs will be distributed at this general shareholders' meeting.
