10.11.2016, 07.04.2017, 08.05.2017 ve 09.08.2019 tarihli özel durum açıklamalarımıza istinaden; Rekabet Kurulu'nun 07.11.2016 tarihli ve 16-37/628-279 sayılı kararı ile 4054 sayılı Rekabetin Korunması Hakkında Kanun'u ihlal ettiği gerekçesiyle, Şirketimizin %100 bağlı ortaklığı olan Vestel Ticaret AŞ aleyhine hükmedilen 8.024.370,30-TL tutarındaki idari para cezasının dörtte üçü olan 6.018.277,72-TL, 4054 sayılı Kanun'un 55. maddesi ile 5326 sayılı Kabahatler Kanunu'nun 17/6 maddesi uyarınca Vestel Ticaret AŞ tarafından 06.04.2017 tarihinde ödenmesinin yanı sıra, söz konusu idari işlemin iptali için Ankara 6. İdare Mahkemesi nezdinde açılan davada verilen davanın reddi kararı üzerine yapılan istinaf başvurusunun reddini takiben yapılan temyiz başvurusu da, Danıştay 13. Dairesi'nin 14.04.2022 tarih ve E. 2019/3392, K. 2022/1688 sayılı gerekçeli kararı ile reddedilmiş olup, Vestel Ticaret AŞ aleyhine verilen Kurul kararı kesinleşmiştir.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

Pursuant to our material event disclosures dated 10.11.2016, 07.04.2017, 08.05.2017 and 09.08.2019; a TL 8.024.370,30 administrative fine was imposed on Vestel Ticaret AŞ, a 100% subsidiary of our Company, on the grounds that the company had violated the Law on the Protection of Competition No.4054 as per the decision of the Competition Board dated 07.11.2016 and numbered 16-37/628-279, Vestel Ticaret AŞ paid three-fourth of the administrative fine amounting to TL 6,018,277.72 on 06.04.2017 in accordance with the Article 55 of the Law No. 4054 and the Article 17/6 of the Law of Misdemeanor No. 5326. The lawsuit filed before the 6 th Administrative Court of Ankara for the cancellation of the administrative action was rejected, and the request of appeal against such decision was rejected afterwards, and finally, the request of cassation proceedings was also rejected by the reasoned decision of the 13 th Chamber of the Council of State dated 14.04.2022 and numbered E. 2019/3392, K. 2022/1688 and accordingly, the Board decision against Vestel Ticaret AŞ has become final.
