Vestel Beyaz Eşya Sanayi ve Ticaret Anonim Şirketi Yönetim Kurulu aşağıdaki kararları almıştır.

Şirketimiz, 2019 hesap döneminde Sermaye Piyasası Kurulu'nun II.14.1 sayılı "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" uyarınca, Türkiye Muhasebe Standartları/Türkiye Finansal Raporlama Standartları ("TMS/TFRS") ve SPK tarafından belirlenen formatlarla uyumlu olarak hazırlanan ve PwC Bağımsız Denetim ve Serbest Muhasebecilik Mali Müşavirlik A.Ş. tarafından denetlenen finansal tablolara göre 568.072.000 TL net dönem kârı, Türk Ticaret Kanunu ve 213 sayılı Vergi Usul Kanunu'nun ilgili hükümleri çerçevesinde düzenlenmiş finansal tablolara göre ise 553.612.718 TL net dönem kârı elde etmiştir.

Sermaye Piyasası Kanunu ve Sermaye Piyasası Kurulu düzenlemelerine uygun olarak hazırlanan mali tablolarda yer alan 568.072.000 TL net dönem kârı üzerinden, Türk Ticaret Kanunu'nun 519. maddesi uyarınca ödenmiş sermayenin yüzde yirmisine ulaşıldığı için, genel kanuni yedek akçe ayrılmamış olup net dağıtılabilir dönem kârı 568.072.000 TL olarak hesaplanmaktadır.

Şirket Esas Sözleşmesi hükümleri ve Kâr Dağıtım Politikası ile 17.04.2020 tarih ve 31102 sayılı Resmi Gazete'de yayımlanan 7244 Sayılı Kanun'un 12'nci maddesi ile Türk Ticaret Kanunu'na eklenen Geçici Madde 13 hükmü göz önünde bulundurularak çıkarılmış sermayeyi temsil eden paylara, SPK mevzuatına uygun olarak hesaplanan dağıtılabilir kârdan %22,67 oranında 128.766.200 TL tutarında birinci kâr payı ayrılmasına, kâr dağıtımına esas alınan 568.072.000 TL dağıtılabilir kârdan 128.766.200 TL birinci kâr payı ayrıldıktan sonra 13.251.800 TL genel kanuni yedek akçe ayrılmasına, 128.766.200 TL tutarındaki kâr payının (her 1,00 TL nominal değerli hisseye brüt 0,67772 TL, net 0,57606 TL olmak üzere) 14/07/2020 tarihinden itibaren ortaklara nakden dağıtılmasına, Türk Ticaret Kanunu ve 213 sayılı Vergi Usul Kanunu'nun ilgili hükümleri çerçevesinde düzenlenmiş finansal tablolara göre 553.612.718 TL net dönem kârı tutarından 128.766.200 TL kar payı tutarının ve 13.251.800 TL genel kanuni yedek akçe tutarının düşülmesinden sonra kalan 411.594.718 TL tutarın olağanüstü yedeklere aktarılmasına ve bu hususların 2019 yılı Olağan Genel Kurul toplantısında pay sahiplerinin onayına sunulmasına, toplantıya katılan Yönetim Kurulu üyelerinin oy birliği ile karar verilmiştir.
