Directors' Shareholdings

Vertu was notified on 3 March 2015 of the following dealings by its Directors, Robert Forrester and Michael Sherwin (the "Dealings"). The Dealings took place under the Company's All Employee Shares Incentive Plan on 27 February 2015 at a price of 59.75p per ordinary share of 10p each in the Company ("Ordinary Shares").

Robert Forrester acquired 503 Ordinary Shares and now holds 6,630,205 Ordinary Shares representing 1.94% of the Company's issued share capital.

Michael Sherwin acquired 502 Ordinary Shares and now holds 361,828 Ordinary Shares representing 0.11% of the Company's issued share capital.

The Company's issued share capital consists of 340,907,585 Ordinary Shares with voting rights.  The Company does not hold any Ordinary Shares in treasury.
