Item 1.01 Entry into a Material Definitive Agreement

On May 18, 2017, Verisk Analytics, Inc. (the “Company”) entered into the Third Amendment (the “Third Amendment”) to the Second Amended and Restated Credit Agreement dated April 22, 2015 among the Company and the lenders and agents party thereto. The Third Amendment provides for (i) a one-year extension of the maturity date in respect of the revolving credit facility, (ii) certain modifications to the definition of the consolidated funded debt leverage ratio, and (iii) permitted increases to the consolidated funded debt leverage ratio to 4.00x during the four-quarter leverage increase period at the Company’s election following a permitted acquisition. All borrowings under the credit facility shall continue to remain unsecured.
