F1: The Reporting Person, solely by virtue of his position as Managing Partner of Bow Street LLC ("Bow Street"), which is the investment manager of certain private investment funds and separately managed accounts, including Bow Street Special Opportunities Fund XV, LP, may be deemed to beneficially own the shares of common stock, $0.01 par value per share ("Common Stock") of the Issuer for purposes of Section 16. The Reporting Person expressly disclaims beneficial ownership of such shares of Common Stock except to the extent of his pecuniary interest therein.

F2: On March 3, 2021, Bow Street LLC terminated its investment management agreement with Minayot Acquisition LLC ("Minayot") and ceased serving as the investment manager of the Minayot managed account, which had held 1,895,806 shares of Common Stock (the "Minayot Shares"). As a result of such termination, the Reporting Person, solely by virtue of his position as Managing Partner of Bow Street, relinquished all voting and dispositive power over, and no longer maintains any investment control with respect to the purchase or sale of, the Minayot Shares, and therefore disclaims beneficial ownership of the Minayot Shares for purposes of Section 16.
