Section 708A Notice

Veris Limited (“VRS” or the “Company”) advises that further to the ASX announcement on 9 July 2021, the Company has completed the issue of new shares to the founders of Wumara Group (“Wumara”) as part consideration for the acquisition of a 49% interest in the Wumara (“Placement”).

The Company has today issued 277,718 new fully paid ordinary shares at $0.07202 per share pursuant to the Placement.

The Placement shares have been issued under the Company’s placement capacity under Listing Rule 7.1.

Cleansing Notice

With reference to the shares issued, in accordance with Section 708A(6) of the Corporations Act 2001(Cth)(Corporations Act), the Company gives notice under paragraph 708A(5)(e) that:

1. The shares were issued without disclosure under Part 6D.2 of the Corporations Act;

2. As at the date of this notice:

3. a. The Company has complied with the provisions of Chapter 2M of the Corporations Act as it applies to the Company;

4. b. the Company has complied with section 674 of the Corporations Act; and

5. c. there is no excluded information within the meaning of sections 708A(7) and 708A(8) of the Corporations Act which is required to be disclosed under section 708A(6)(e) of the Corporations Act.

An Appendix 2A in relation to the Placement shares has also been released.
