Managing Director/ CEO Remuneration Update

Veris Limited (“Veris” or “the Company”) (ASX:VRS) advises shareholders of changes to the remuneration for the Managing Director and Chief Executive Officer, Dr Michael Shirley, effective from 1 January 2024 in accordance with ASX Listing Rule 3.16.4.

A summary of the changes has been detailed in the annexure to this announcement.

The Board has completed an independent market-based review process, which included benchmarking of remuneration against a broad range of industry peer companies. This review has resulted in an increase in Base Salary and potential Incentive benefits for Dr Shirley.

Annexure

MANAGING DIRECTOR / CHIEF EXECUTIVE OFFICER REMUNERATION

In accordance with ASX Listing Rule 3.16.4, Veris wishes to advise the following changes to Dr Shirley’s employment agreement effective from 1 January 2024:

• Total Fixed Remuneration: Base Salary $500,000 per annum, inclusive of statutory superannuation contributions

• Short term and long term incentives as previously announced.
