Participation by Directors in Share Placement – Section 708A Notice

Veris Limited (“VRS” or the “Company”) advises that further to the ASX announcement on 25 February 2021, and the approval obtained by shareholders at the General Meeting held on 21 April 2021, the Company has completed the placement to two Directors to raise $410,000 (“Director Placement”).

The Company has issued 5,857,142 new fully paid ordinary shares at $0.07 per share pursuant to the Director Placement.

Cleansing Notice

With reference to the shares issued, in accordance with Section 708A(6) of the Corporations Act 2001(Cth)(Corporations Act), the Company gives notice under paragraph 708A(5)(e) that:

1. The shares were issued without disclosure under Part 6D.2 of the Corporations Act;

2. As at the date of this notice:

3. a. The Company has complied with the provisions of Chapter 2M of the Corporations Act as it applies to the Company;

4. b. the Company has complied with section 674 of the Corporations Act; and

5. c. there is no excluded information within the meaning of sections 708A(7) and 708A(8) of the Corporations Act which is required to be disclosed under section 708A(6)(e) of the Corporations Act.

An Appendix 2A in relation to the Director Placement shares has also been released.
