$12 MILLION PLACEMENT COMPLETED

OTOC is pleased to advise it has received $12 million in funds and issued 44,444,445 in new shares at 27 cents per ordinary share to professional and sophisticated investors, as announced on 26 September 2016.

The placement includes the issue of 17,702,214 new shares pursuant to the Company’s 15% capacity under ASX Listing Rule 7.1, and 26,742,231 new shares pursuant to the Company’s 10% capacity under ASX Listing Rule 7.1A. An Appendix 3B is appended to this announcement.

Net proceeds from the Placement will be used to fund future acquisitions and expansion in-line with OTOC’s strategy to create a national quality planning, design, survey and spatial solutions company and for general corporate purposes.

In relation to the 26,742,231 new shares issued under the Company’s 10% capacity under ASX Listing Rule 7.1A, the Company provides the following information required under ASX Listing Rule 3.10.5A:

  • a) The dilutive effect of the issue of the 26,742,231 Shares is 8.77%.

  • b) The Company issued the 26,742,231 Shares as a placement under Listing Rule 7.1A, as it believed this was the most efficient mechanism for raising funds to meet its stated objectives and the offer was considered the most appropriate of the opportunities that were considered by the Board.

  • c) No underwriting arrangements were in place for the placement.

  • d) A Fee of 5% on funds raised, in connection with the issue of the 26,742,231 shares, was paid to the Joint Lead Managers. There were no other costs associated with the issue of the 26,742,231 shares other than regulatory compliance costs.
