COMPLETION OF SALE OF EMERSON STEWART CONSULTING

OTOC Limited (ASX code: OTC) and it’s wholly owned subsidiary, Emerson Stewart Pty Ltd ( ESC ) is pleased to announce the completion of the sale of the Emerson Stewart Consulting Division to PDC Design Pty Ltd, wholly owned by leading engineering design, drafting and Building Information Modelling company PDC Consultants ( PDC ).

OTC will receive approximately $1 million as consideration for the sale of the Emerson Stewart business. The proceeds will be used by the Company to support the growth of the Company’s core businesses, OTOC and Whelans.

OTC’s CEO Adam Lamond said: “The Company is pleased to complete the sale of Emerson Stewart which was determined by the Board to be non core to OTC’s business. OTC will now focus on our two core businesses OTOC and Whelans to deliver strong returns to shareholders.

PDC’s Managing Director said: “The completion of this acquisition is a key step in the company’s strategy to offer our core Clients an integrated engineering design and detailing service that deliver project lifecycle and productivity solutions through the use of Building Information Modelling (BIM) Technologies. We are excited by having the ESC staff on our team.”
