OTOC GROUP ACHIEVES EARNINGS MILESTONE
OTOC Limited (ASX code: OTC) is pleased to announce, that its wholly owned subsidiary OTOC Group Pty Ltd (“OTOC”) has achieved earnings above that forecasted when it was acquired by OTC. As a result OTC has converted 20 million Performance Shares issued as part consideration under the Heads of Agreement (“Agreement”) for the acquisition of 100% of the shares of OTOC in October 2011 into 40 million Ordinary Shares.
Under the terms of the Agreement the 20 million Performance Shares convert into ordinary shares on the achievement of earnings milestones outlined below:

(i) If OTOC achieves EBIT in accordance with IFRS and on a pre-corporate overheads basis of equal to $5.5million for the full 2012 financial year, the performance shares shall convert into a total of 20,000,000 Shares;

(ii) If OTOC achieves EBIT in accordance with IFRS and on a pre-corporate overheads basis of greater than $5.5million for the full 2012 financial year, then, in addition to (i) immediately above, an extra 20 Shares will be issued for every $1 of EBIT earned over $5.5mllion to a cap of an additional 20 million shares;
On completion of the audited accounts for the year ended 30 June 2012, the Company is pleased to report, OTOC achieved a $6,751,000 EBIT, being above the top end of the milestone range. Accordingly, OTC has now converted the Performance Shares and has issued 40,000,000 Shares valued at $8million (based on a deemed price of 20 cents per share as at the date of the acquisition).
OTC’s Chairman, Derek La Ferla said “the achievement by OTOC of the earnings milestone is positive for all shareholders and further strengthens the Company’s decision to acquire OTOC which has delivered above the performance expectations contemplated by the transaction.”
An Appendix3B and 708 Notice in relation to the issue of the new shares are attached to this announcement.

708 NOTICE
OTOC Limited (ASX code: OTC) hereby provides notice for the purposes of section 708A(5)(e) of the Corporations Act 2001 that it has issued 40 million fully paid ordinary shares which represent the conversion of 20 million performance shares forming part of the original consideration for the acquisition of the OTOC Group Pty Ltd in October 2011.
The Company issued the Shares above without a disclosure document to investors under Part 6D.2 of the Corporations Act.
The Company, as at the date of this notice, has complied with:

a) the provisions of Chapter 2M of the Corporations Act; and

b) section 674 of the Corporations Act.
There is no excluded information, as defined in sections 708A(7) and 708A(8) of the Corporations Act, as at the date of this notice.
An Appendix 3B with respect to the issue of the fully paid ordinary shares accompanies this notice.
