Grant of performance shares
Aix-en-Provence, 23 March 2015 - INSIDE Secure (Euronext Paris INSD), a leader in embedded security solutions for mobile and connected devices, today announced the granting of performance shares to its managers and officers.
Using the authorisation given by the combined general shareholders' meeting of 26 June 2014, the Management Board, after receiving approval from the Supervisory Board, has granted 350,059 performance shares to 43 managers and officers of INSIDE Secure in order to align interests with those of the shareholders over the long term.
Each grantee will therefore become a shareholder of INSIDE Secure after a period of three or five years, depending on the country, subject (i) to service within the Group in the three coming years at least, and (ii) market conditions (the percentage of stocks vested in respect of the latter condition ranges from 0% to 100% depending on whether the volume-weighted average price of the Company's shares during the 20 trading days prior to 23 March 2018 is below EUR 3.125 or above EUR 6 respectively). After receiving prior authorisation from the Supervisory Board, the Management Board may possibly and if it considers it in the interest of the company, relieve a given grantee of one or more of the aforementioned conditions for all or some of their shares. Vested shares for which a three-year vesting period was applied will then be subject to a two-year holding period.
