Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 -Allotment of Equity Shares by Wholly Owned Subsidiary Company.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that Brain4ce Education Solutions Private Limited, a wholly owned subsidiary of Veranda Learning Solutions Limited (“ the Company ”), has allotted 5,99,718 (Five Lakh Ninety-Nine Thousand Seven Hundred and Eighteen) equity shares of face value Rs.10 each at an issue price of Rs. 1,924.05 per share, aggregating to Rs. 115,38,87,417.90 (One Hundred Fifteen Crore Thirty-Eight Lakhs Eighty-Seven Thousand Four Hundred Seventeen and Ninety Paise), to the Company.

The allotment has been made to the Company pursuant to the conversion of an outstanding loan including interest into equity.

As per the communication received from the Subsidiary dated September 25, 2025, the above-mentioned equity shares have been duly allotted to the Company.
