Sheli Z. Rosenberg, a member of the Board of Directors (the “Board”) of Ventas, Inc. (the “Company”), notified the Company on March 11, 2014 that she will retire from the Board, effective at the end of her current term on May 15, 2014.

A copy of the press release issued by the Company on March 13, 2014 announcing Ms. Rosenberg’s retirement is filed herewith as Exhibit 99.1 and incorporated in this Item 5.02 by reference.
