宁波维科精华集团股份有限公司全体股东：

我们接受委托，依据中国注册会计师审计准则对宁波维科精华集团股份有限公司（以 下简称 “ 维科精华 ” ） 2013 年 12 月 31 日的合并及母公司资产负债表， 2013 年度的合并及母 公司利润表、合并及母公司现金流量表、合并及母公司所有者权益变动表，以及财务报表附 注，并出具了天衡审字（ 2014 ） 00726 号标准无保留意见《审计报告》。

根据企业会计准则、中国证券监督管理委员会和上海证券交易所的相关规定更正前期 会计差错是维科精华管理层的责任。根据上海证券交易所《关于做好上市公司 2014 年年度 报告披露工作的通知》的相关要求，我们出具了本专项说明。

一、前期差错的主要内容及对财务报表项目的影响

1 、前期差错更正的原因及内容

维科精华在编制 2013 年年度财务报表时，将子公司 - 九江维科印染有限公司出售给江 西腾马纺织印染股份有限公司发生的资产处置损失 24,222,008.05 元冲减收到的搬迁补助 款 3,000 万元，余额 5,777,991.95 挂列专项应付款，导致 2013 年度营业外收入少计 3,000 万元、营业外支出少计 24,222,008.05 元、专项应付款多计 5,777,991.95 元。

2 、前期差错更正对处理对财务报表的影响

维科精华对上述前期会计差错采用追溯重述法进行处理，影响的报表项目及影响金额 列示如下：
