Veidekke - Major Shareholding Notification 2015

Mandatory notification of trade and disclosure of shareholding

Reference is made to the stock exchange announcement

on 15 September 2015 regarding the potential sale of

between 6,000,000 and 7,000,000 shares in Veidekke

ASA ("VEI") by OBOS BBL ("OBOS").

OBOS has today sold 7,000,000 shares in VEI at a

price of NOK 93.50 per share.

As a consequence of the transaction OBOS has passed

the threshold of 20 percent of the outstanding share

capital in VEI, cf. The Securities Trading Act

section 4-3 first paragraph.

After the transaction, OBOS owns 23,769,440 shares in

VEI, corresponding to approximately 17.8 per cent of

the share capital in VEI. OBOS is committed to

continue to be a significant and strategic long-term

owner and represented on the Board of VEI.

Arctic Securities AS has acted as manager and

bookrunner for the transaction.

OBOS is represented on the Board of Directors of VEI

by Martin Mæland, the CEO of OBOS, who acts as Non-

executive Director and Chairman of the Board.
