Veidekke ASA: MANDATORY NOTIFICATION OF TRADE

On 27 May 2015 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) purchased 34 000 Veidekke shares at a price of NOK 92.00 each. The

Trust now holds 1 560 shares.

Senior executives purchased 715 340 shares in Veidekke from the Trust in May

2015, see notification 15 May 2015. These shares will be transferred from the

Trust in June 2015. The balance of Veidekke shares in the Trust is shown after

this transaction.
