MANDATORY NOTIFICATION OF TRADE

On 22 November 2010 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) purchased 20 000 Veidekke shares at a price of NOK 49.90 each. The

Trust now holds 18 653 shares.

Employees purchased 1 355 350 shares in Veidekke from Stiftelsen (the Veidekke

Employee Share Trust), see notification 22 November 2010. These shares will be

transferred from the Trust in December. The balance of Veidekke shares is shown

after this transaction.
