MANDATORY NOTIFICATION OF TRADE

On 25, May 2010 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) purchased 15 000 Veidekke shares at a price of NOK 39.90 each. The

Trust now holds

1 178 926 Veidekke shares.

These shares will be resold to key employees in the proposed sale of shares to

Veidekke employees in May 2010.
