MANDATORY NOTIFICATION OF TRADE

On 21, May 2010 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) purchased 449 881 Veidekke shares at a price of NOK 42.49 each. The

Trust now holds 1 164 126 Veidekke shares.

These shares will be resold to key employees in the proposed sale of shares to

Veidekke employees in May 2010.
