MANDATORY NOTIFICATION OF TRADE

On 20, May 2010 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) purchased 36 012 Veidekke shares at a price of NOK 41.3668 each.

The Trust now holds 714 245 Veidekke shares.

These shares will be resold to key employees in the proposed sale of shares to

Veidekke employees in May 2010.
