EXPLANATORY NOTE

This Amendment on Form 8-K/A (this “Amendment”) amends Item 5.02 of the Current Report on Form 8-K filed by Veeco Instruments Inc., a Delaware corporation (the “Company”) on August 16, 2021 (the “Original Report”), in which the Company reported the appointment of Sujeet Chand to the Board of Directors of the Company (the “Board”). At the time of the Original Report, the Board had not made any determinations regarding the committee assignments for Dr. Chand. The Company hereby amends the Original Report to include information on committee assignments in Item 5.02 below. This Form 8-K/A is being filed solely to provide information called for in Item 5.02(d)(3) of Form 8-K that had not been determined at the time of the filing of the Original Report.

On October 27, 2021, the Board determined the committee assignments for Dr. Chand. Effective as of October 27, 2021, the Board appointed Dr. Chand to its Governance Committee.
