Increase and Conversion Notices for Convertible Note Facility

ServTech Global Holdings Limited (ASX: SVT) ( ServTech or the Company ) advises that it has received notices from Servnote Holding Pty Ltd (Servnote) to both increase their investment and convert the convertible notes issued by the Company as per the terms announced on 22 November 2017.

Under the convertible note agreement, Servnote has the right, at its discretion, to increase its initial $500,000 investment (Initial Note Investment) by an additional $500,000 (Additional Note Investment) for a total investment amount of $1M.

Servnote has executed this right with the issuance of a valid notice effective 27 March 2018. The Company expects to receive the Additional Note Investment of $500,000 within 7 business days.

In addition, Servnote has exercised its right to convert the total $1M investment amount of convertible notes into fully paid ordinary shares in the Company. Per the terms of the convertible note agreement, the conversion price of the convertible notes will be the lower of $0.02 and 80% of the VWAP (‘Volume Weighted Average Price’) for the shares as traded on the ASX in 5 days prior to the record date of the conversion – being the date of this notice – 27 March 2018. On this basis, the conversion price will be $0.0123 per share with the conversion of the Additional Note Investment subject to receipt of the funds by ServTech.

Conversion of the convertible notes is subject to shareholder approval. The Company will look to hold a general meeting (Meeting) at its earliest convenience to seek this shareholder approval. Further details of the convertible loan facility agreement will be provided in the Notice of Meeting.

The increase in investment by Servnote is a strong endorsement of the Company and its efforts to refocus on its core offerings namely Outsourced Solutions, Custom Software Development and Software as a Service.
