The nomination committee proposes a new Chairman of the Board in VBG Group AB

The nomination committee in VBG Group AB proposes that Anders Birgersson to be elected as the new Chairman of the Board at the annual general meeting on May 2, 2024.

VBG Group has been established on Nasdaq OMX Stockholm's Mid Cap list for several years. VBG Group's ownership structure, with a solid base of long-term and stable owners combined with a well-proven business model and stable finances, has led to a favorable earnings trend that creates value for both customers and shareholders. The Group has a clear strategy with the ambition to achieve continued sustainable and profitable growth.

The current Chairman, Johnny Alvarsson, has successfully led the Board's work during times of challenges and major changes for VBG Group, such as the Covid-19 pandemic and its impact on society and the world economy. Johnny has also contributed with great success by effectively leading the Board's work and the maintenance of VBG Group AB, following the transformative acquisition of Mobile Thermal Solutions.

With the intention of ensuring the continuity of corporate governance in good time, the nomination committee makes the assessment that it is now an appropriate time to propose a new Chairman of the Board in VBG Group AB.

The nomination committee proposes the current Board member, Anders Birgersson, as the new Chairman of the Board. Anders has several years' experience of Board work within companies in industry, technology trade, medical technology, and the banking sector. Board assignments that include both listed and owner-managed family companies as well as subsidiaries within non-listed investment companies.

Anders Birgersson hold the position as President and CEO of VBG Group during the years 2001 – 2022, until January 1, 2023, when Anders Erkén took over as new President and CEO.

The Nomination Committee's complete proposal will be published at the latest in connection with the call to the 2024 Annual General Meeting.

The selection committee consists of Göran Bengtsson, chairman of the Herman Krefting Foundation for Allergy and Asthma Research, Johan Lannebo, Lannebo Fonder, Richard Torgerson, Nordea Funds Ltd. and Johnny Alvarsson, current chairman of VBG Group. Johnny Alvarsson is co-opted in his capacity as chairman of the board.
