Dear Sir / Madam,

Subject: Clarification with respect to announcement dated 25[th] March, 2022 regarding appointment of Mr. Kunjal Soni and Mr. Digesh Deshaval as Independent Directors of the Company Ref: Security Id: VCL / Series: SM

As Captioned this is to inform you that, the Company had informed National Stock Exchange of India Limited (NSE) regarding appointment of Mr. Kunjal Soni and Mr. Digesh Deshaval as Independent Directors of the Company through announcement dated 25[th] March, 2022, in accordance with Regulation 30(6) of SEBI (LODR) Regulations, 2015, however deficiencies has been observed by National Stock Exchange of India Limited (NSE), which are as under:

Deficiency 1:

Affirmation that the Director being appointed is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.

Clarification:

As per the SEBI Letter dated June 14, 2018 read along with NSE Circular dated June 20, 2018, having ref no. as - NSE/CML/2018/24, we would like to confirm that Mr. Kunjal Soni and Mr. Digesh Deshaval who have been appointed as Independent Directors are not debarred from accessing the Capital Market and neither SEBI nor any authority had passed any order against them debarring from accessing the Capital Market.
