Hamburg, 9th August 2012 - The shareholders of the Varengold
Wertpapierhandelsbank AG (WKN 547930), a German investment bank with an
exclusive focus on asset management with managed futures and capital
markets brokerage, have agreed to all agenda items with a large majority of
99.99 percent at yesterday's shareholders' meeting. This included the
amendment of the Articles of Association as a condition for the desired
commercial banking license. Varengold aims for a commercial banking license
that would include for example the business areas credit business, safe
custody and deposit banking as well as guarantee business and payment
services. The relevant documents are currently being prepared for
submission to the German Federal Office for Financial Services Law (BaFin).
Among other things, the shareholders also agreed to the creation of a new
authorized capital and a capital increase against cash contribution.
