Sub: Clarification for non-applicability of Regulation 24A of SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015 regarding Annual Secretarial Compliance Report
Ref: SEBI circular CIR/CFD /CMDI /27 /2O19 issued on O8/O2/2O19
As per the limit prescribed in Regulation 15 of SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015 company need to submit Annual Secretarial Audit Compliance Report if:
l) The Paid Up equity share capital of the company does not exceed of Rs. 10 Crore and
2) Net Worth does not exceed of Rs.25 Crore,
As per the latest Audited Balance Sheet
l) The paid up equity share capital of the Company is Rs. 2,28,14,500/- (Rupees Two Crore Twenty Eight Lakh Fourteen Thousands Five hundred Only) and
2) Net worth of Rs. Negative 5,28,67,000 (Rupees Negative Five Crores Twenty Eight lacs and sixty seven thousand Only)
As company is not falling under the eligibility criteria, the company claiming the exemption under Regulation I5(2) of SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015 and so, Company is not required to submit Annual Secretarial Compliance Audit Report for the year ended on 31st March, 2021.
