SUB.: APPOINTMENT OF STATUTORY AUDITORS OF THE COMPANY

Dear Sir/Madam,

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), we wish to inform you that on the recommendation of the Audit Committee, the Board of Directors of the Company, in their meeting held on Thursday, 20[th] June,2024 4 which commenced at 03:00 p.m. and concluded at 03:30 p.m., inter-alia has considered and approved the appointment of M. I. Shah & Co. Chartered Accountant, (Firm Registration No. 119025W), as Statutory Auditors of the Company for the FY 2024-25, subject to the approval of shareholders of the Company, in place of existing Statutory Auditors, Chirag N Shah & Associates (Firm Registration No. 118215W), whose term shall expire at the conclusion of forthcoming 50[th] Annual General Meeting (‘AGM’) to be held in the calendar year 2024.

M. I. Shah & Co., have confirmed their eligibility for appointment as Statutory Auditors. Upon appointment, M. I. Shah & Co, will hold the office for a period of one year from the conclusion of 50[th] AGM till the conclusion of 51[ST] AGM.

Details as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No.CIR/CFD/CMD/4/2015 dated September 9, 2015 are enclosed as Annexure.

➢ The Firm has an experience of more than 25 years in
carrying out Tax Audit under Income Tax Act, 1961 of
Corporate and Non-Corporate Entities.
➢ The Proprietor has good experience in handling /
executing Project Finance (Especially Greenfield
Projects) of more than 20 years.
➢ The Firm has an experience of more than 13 years in
carrying out Statutory Audit of Trust, filing their Income
Tax Returns and conducting Scrutiny Assessments.
➢ The Firm has an experience of more than 10 years
conducting Statutory Branch Audit of Nationalized
Banks.
