Disclosure of Interest in Shares

Notification in accordance with Rule 3.1.4R of the Disclosure and Transparency Rules

On 5 June 2014, the Company was notified pursuant to Disclosure and Transparency Rule 3.1.2R that on 5 June 2014 Kleinwort Benson (Jersey) Trustees Limited, as trustees of the Provident Financial plc 2007 Employee Benefit Trust, transferred the beneficial ownership in 183,975 ordinary shares of 20 8/11p each in the capital of the Company for no consideration to the following directors and PDMRs resident in the UK pursuant to the Provident Financial Long Term Incentive Scheme 2006 ("LTIS").

David Merrett	7,306 shares
Nicholas Boakes	8,135 shares
Kenneth Mullen	10,531 shares

These awards will under normal circumstances vest on 8 April 2017, subject to and in accordance with the rules of the LTIS, provided that the performance conditions have been satisfied.
