Director/PDMR Transaction - Initial Notification

On 18 April 2018, the Company was notified that on 17 April 2018 SG Kleinwort Hambros Trust Company (CI) Limited, as trustees of the Provident Financial plc 2007 Employee Benefit Trust, transferred:

·     the beneficial interest in 1,413,891 ordinary shares of 20 8/11p in the capital of the Company for no consideration to Malcolm Le May, Andrew Charles Fisher, Greg Cant, Chris Gillespie, Shamus Hodgson, Richard King, David Merrett, Ken Mullen and Chris Sweeney, who are all directors/persons discharging managerial responsibility ("PDMRs") in the Company, in satisfaction of the awards granted on 16 April 2018 subject to and in accordance with the terms of the Provident Financial Long Term Incentive Scheme 2015 (the "LTIS Awards"); and

·     the beneficial interest in 96,266 ordinary shares of 20 8/11p in the capital of the Company for no consideration to Chris Sweeney, in satisfaction of an additional award granted on 16 April 2018 separately to the LTIS Awards and subject to and in accordance with a grant deed entered into between the Company and the PDMR ("Additional Conditional Award").
