Director/PDMR Transaction - Initial Notification

On 19 April 2017, the Company was notified that on 19 April 2017 SG Kleinwort Hambros Trust Company (CI) Limited, as trustees of the Provident Financial plc 2007 Employee Benefit Trust, transferred the beneficial interest in 163,956 ordinary shares of 20 8/11p in the capital of the Company for no consideration to Peter Stuart Crook, Andrew Charles Fisher, Nicholas Boakes, Shamus Hodgson, David Merrett, Ken Mullen, Mark Stevens and Chris Sweeney, who are all directors/persons discharging managerial responsibility ("PDMRs") in the Company, in satisfaction of the awards granted subject to and in accordance with the terms of the Provident Financial Long Term Incentive Scheme 2015:
