Provident Financial plc ("the Company")

Director/PDMR Transaction - Initial Notification

The Company announces that it has granted awards over the Company's ordinary shares of 20 8/11p each ("Ordinary Shares") to Peter Stuart Crook, Andrew Charles Fisher, Nicholas Boakes, Shamus Hodgson and Chris Sweeney, who are all directors/persons discharging managerial responsibility ("PDMRs") in the Company.  The awards were made under the Provident Financial Performance Share Plan 2013 on 24 March 2017 and were granted at a price of £29.28 per Ordinary Share. SG Kleinwort Hambros Trust Company (CI) Limited subscribed for 121,101 Ordinary Shares and transferred the legal and beneficial interest to the PDMRs in satisfaction of the basic award and the beneficial interest only to the PDMRs in satisfaction of the matching award granted subject to and in accordance with the terms of the Provident Financial Performance Share Plan 2013:
