In accordance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rule 5.6.1., Provident Financial plc hereby gives notice that as at 30 September 2016, the company's issued share capital consisted of 147,651,255 ordinary shares of 20 8/11p each, with voting rights. Provident Financial plc does not hold any ordinary shares in Treasury.

The above figure 147,651,255 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Provident Financial plc under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
