CONFIRMATIONS
Tando Resources Limited (ACN 618 307 887) ( Company ) provides the following confirmations to satisfy conditions for reinstatement of the Company’s securities to quotation on ASX.
Completion of Public Offer
The Company confirms that all conditions to the offer under the prospectus dated 21 August 2017 ( Prospectus ) ( Public Offer ) have been satisfied and the Company has issued 22,500,000 fully paid ordinary shares ( Shares ) under the Public Offer.
Completion of acquisition of VMS Resources Pty Ltd
The Company confirms that all conditions precedent to the acquisition of 100% of the issued capital of VMS Resources Pty Ltd (ACN 618 821 015) ( VMS ) (the Acquisition ) have been satisfied or waived and the Company has completed the Acquisition.
The Acquisition was conditional upon the current holder of E47/5352 ( Tenement ) transferring the Tenement to VMS. However, this condition was waived by the parties on the basis that the Tenement will be held on trust by the holder of the Tenement on behalf of VMS. Details of these arrangements are set out in section 10.2 of the Prospectus.
In accordance with the acquisition agreement dated 12 June 2017, the Company has now issued 1,250,000 fully paid ordinary shares and paid $50,000 pro-rata to the shareholders of VMS Resources Pty Ltd by way of consideration for the Acquisition.
No material subsequent events
The Company confirms there have been no material subsequent events to alter the Company’s statement of financial position as detailed in the Prospectus.
No impediments
The Company confirms there are no legal, regulatory or contractual impediments to the Company undertaking the activities the subject of the commitments disclosed in the Prospectus.
Compliance with Listing Rules
The Company is in compliance with the Listing Rules and in particular Listing Rule 3.1.
