THE BOARD OF DIRECTORS GIVES DELEGATIONS AND POWERS

Bologna April 27, 2020 - The Board of Directors of Valsoia S.p.A. (MTA: VLS) - appointed by today's Shareholders' Meeting - met today in audio videoconference under the chairmanship of Doctor Lorenzo Sassoli de Bianchi, and took the resolutions in terms of attribution of powers, delegations and requirements of enforceability and independence pursuant to art. 147-ter of Legislative Decree 58/98 summarized in the following table:

CONFIRMATION OF POSITION AND ALLOCATION OF POWERS OF THE GENERAL MANAGER

Andrea Panzani was also confirmed in the position, held since 4 February 2014, of General Manager of the company.

ATTRIBUTION OF HONORARY CHAIRMAN OFFICE AND ITS COMPENSATION

Following the approval by the Shareholders' Meeting held today, relating to the modification of art. 16 of the Company Bylaws, Mr. Cesare Doria de Zuliani was appointed as Honorary Chairman of Valsoia S.p.A.
