The securities to be registered hereby are the ordinary shares, no par value per share (the “Ordinary Shares”) of Valens Semiconductor Ltd. (the “Company”) and warrants to purchase Ordinary Shares (the “Warrants”). The description of the Ordinary Shares and Warrants contained under the headings “Description of Valens Ordinary Shares” and “Description of Valens Warrants” in the registration statement initially filed with the Securities and Exchange Commission on June 17, 2021, as amended from time to time (File No. 333-257176) (the “Registration Statement”) to which this Form 8-A relates is incorporated herein by reference.
