Subject: Notice of IMPERIAL d.d. Rab Share Transfer

We hereby inform you that the company VALAMAR RIVIERA d.d., with registered office in Poreč, 1 Stancija Kaligari, registered at the Commercial Court in Pazin, registration number (MBS) 040020883, personal identification number (OIB): 36201212847 (hereinafter: the Company or Valamar), pursuant to the provisions of the Cooperation Agreement, transferred as seller on 13 October 2016, through an OTC transaction reported to the Zagreb Stock Exchange according to pertaining regulations, 63.586 shares with a nominal amount of HRK 400,00 each, of the company IMPERIAL hotelijerstvo, ugostiteljstvo i turizam d.d. with registered office in Rab, 2 Jurja Barakovića (hereinafter: IMPERIAL d.d.), to the buyer and partner, the mandatory pension fund management company AZ d.o.o društvo za upravljanje obveznim mirovinskim fondom which acts in its own name and on behalf of the AZ mandatory pension fund category A, personal identification number (OIB): 15220336427 and in its own name and on behalf of AZ mandatory pension fund category B, personal identification number (OIB): 59318506371, (hereinafter: AZ), with which the Company has established joint action towards IMPERIAL d.d. The transferred shares represent 10% of IMPERIAL d.d. share capital.

We hereby also inform you that, according to Article 413 of the Capital Market Act, the Company will notify of its falling below the 50% threshold, i.e. AZ exceeding the 10% and 15% threshold of voting rights in IMPERIAL d.d.
