Subject: Notification on conclusion of agreement

We inform you that the company VALAMAR RIVIERA d.d, Pore , Stancija Kaligari 1, OIB: 36201212847 (hereinafter: VALAMAR) has on the 10th of June 2015 concluded share purchase agreements and share transfer agreements by which it is purchasing and acquiring shares in three limited liability companies: 96,84% shares of company BAŠKATURIST d.o.o., 91,24% shares of company MIRTA BAŠĆANSKA d.o.o. and 99,67% shares of company VALA BAŠĆANSKA d.o.o., which together hold a total of 83,82 % shares of company HOTELI BAŠKA d.d., Emila Geistlicha 39, OIB: 07008253173.

In accordance with share purchase agreements, share transfer agreements shall enter into force after the payment of purchase price all in accordance with the conditions set in aforementioned agreements. Total purchase price for acquiring of shares in stated companies amounts to 23.204.244,00 EUR in kuna counter value. Closing of the transaction is expected latest until the end of June.

Mrs. Ivana Budin Arhani has been appointed as management board member of companies BAŠKATURIST d.o.o., MIRTA BAŠĆANSKA d.o.o., VALA BAŠĆANSKA d.o.o. and of company HOTELI BAŠKA d.d.
